Terms of Use

All contracts for the supply of goods by Royal Decor Steel are subject to the following conditions. Any addition, modification, or variation must be agreed to in writing by a director or other authorized personnel of Royal Decor Steel.

No quotation shall be binding on Royal Decor Steel unless made in writing.

• Written quotations are valid for acceptance within 14 days from the date of the quotation.
• No delay in receipt of a quotation entitles the customer to extend the quotation period.
• Royal Decor Steel may vary the time for acceptance of any quotation in writing.
• Royal Decor Steel is not liable for any loss, damage, loss of profit, cost, or expense incurred due to a change in the acceptance period.

Royal Decor Steel reserves the right to vary a quoted price:

• To conform to its prices for similar goods at the date of dispatch (including dispatch of each installment where goods are delivered by installments).
• To take account of changes in labor, materials, and other costs arising between quotation and delivery.
• If an alteration is made to an order upon which a quotation was based.
• If the customer delays taking delivery of goods due to circumstances beyond Royal Decor Steel’s control.

• Royal Decor Steel will use best efforts to meet delivery dates, however delivery dates are approximate only and no guarantee or warranty is given unless agreed in writing.
• Royal Decor Steel is not liable for consequential damages due to late delivery, including any loss, damage, or loss of profit resulting from delays.
• Delays do not entitle the customer to cancel an order, refuse delivery, or withhold payment.
• If the customer fails to take delivery or requests a delay, Royal Decor Steel may:
  • Increase the price to account for additional expenses, and/or
  • Store the goods and charge reasonable storage and insurance costs, and/or
  • Sell the goods to a third party and (if the goods were pre-paid) return the purchase price to the customer.

Royal Decor Steel will not insure any goods in transit unless requested by the customer and agreed to in writing.

• Unless otherwise agreed, all prices are quoted net of delivery “ex works” and invoices are payable in the currency invoiced by Royal Decor Steel.
• Where credit terms are established, payment is due according to the agreed terms and (unless stated otherwise in writing) shall be 30 days from the invoice date.
• Time of payment is of the essence. If payment is not made in full on the due date, interest may be charged at 3% per annum above the Prime Lending Rate on outstanding balances (accruing daily).
• In the event of default or delay in payment, any outstanding balance may become immediately due and credit facilities may be withdrawn.

• Royal Decor Steel is not liable for any loss, injury, damage, loss of profit, or losses of any description suffered directly or indirectly as a result of acceptance of an order or quotation.
• No warranty or condition (statutory or otherwise) regarding quality, fitness for purpose, performance, or merchantability is given or implied unless agreed in writing.
• Royal Decor Steel is not liable for loss, injury, damage, or loss of profit arising from the acts or defaults of agents or subcontractors engaged to carry out an order or part thereof.

If the customer commits an act of bankruptcy, becomes insolvent, makes arrangements with creditors, or (if a company) enters liquidation or has a receiver/administrator appointed, Royal Decor Steel may terminate any contract without liability or notice. The customer bears any loss or damage incurred by Royal Decor Steel resulting from resale of goods under any terminated contract.

Orders placed and accepted by Royal Decor Steel cannot be cancelled except with Royal Decor Steel’s written agreement. Orders Royal Decor Steel is unable to cancel must be paid in full by the customer. Completed and shipped orders are non-cancelable. In exceptional circumstances, Royal Decor Steel may accept returned metal provided it is received in acceptable condition, freight is prepaid, and a restocking charge of up to 70% may apply.

Unless Royal Decor Steel is notified within three days of receipt of any error in finish, quantity, weight, etc., the order shall be deemed complete and correct. Material purchased in sheet form is subject to a shipping tolerance of +/- 10%.

• Goods remain the property of Royal Decor Steel until paid for in full.
• Until payment is made in full, the customer holds the goods as bailee and must store them so they are identifiable as Royal Decor Steel’s property and kept separate from other property.
• The customer’s right to possession ceases if:
  • The customer has not paid in full by the due date, or
  • The customer becomes bankrupt / enters a voluntary arrangement with creditors, or
  • A receiver, liquidator, or administrator is appointed in respect of the customer’s business.
• On cessation of possession rights, the customer must make goods available for repossession at its own expense and allow Royal Decor Steel to repossess them.
• The customer grants Royal Decor Steel, its agents, and employees an irrevocable license to enter premises where goods are stored to repossess or inspect them.
• Where goods are delivered by installments, each delivery is a separate contract. Royal Decor Steel may withhold deliveries until earlier deliveries are paid for in full.

• Packing cases and all materials used by Royal Decor Steel will be charged unless agreed otherwise.
• Royal Decor Steel will supply material on appropriately sized pallets, suitably strapped for shipping as agreed with the customer.
• Standard packing cases used by Royal Decor Steel are not required to be waterproof.

Royal Decor Steel has no control over delays caused by customs authorities or shipping companies. Customers should allow for possible delays. Royal Decor Steel is not responsible for costs incurred due to late delivery arising from such delays.

If Royal Decor Steel is hindered or prevented from making or delivering goods by strikes, labor disputes, fire, war, accidents, governmental action, or any cause beyond its control, it may terminate the contract by notice to the customer without liability for damages.

Unless the customer specifies tolerance requirements in writing (with necessary detail) and these are accepted in writing by Royal Decor Steel, goods will be supplied in accordance with Royal Decor Steel’s standard tolerances. These may differ from tolerances used by other companies.

(a) Royal Decor Steel may refuse to give credit or limit credit at its discretion without providing a reason. Royal Decor Steel may refuse to transact business with any person, firm, or company.

(b) Orders will not be available for collection or shipping without authorization from Royal Decor Steel’s credit control department. Credit references and payment terms must be complied with to avoid delays.

All data, images, drawings, descriptions, and other information provided by Royal Decor Steel (including website/catalogues/brochures and verbal information) are intended to be as accurate as possible but are provided for general information only and are not binding. Information is subject to reasonable variations. Royal Decor Steel is not responsible for errors or misleading information. Customers must satisfy themselves of suitability before use.

• Samples are for promotional purposes only and are not to be used as control materials for goods supplied.
• If control samples are required for a specific order, Royal Decor Steel must be notified in advance and approval must be in writing.

To maintain appearance and longevity, material should be cleaned routinely using methods and cleaning media appropriate to the finish. Consult Royal Decor Steel for guidance.

• Unless ordered otherwise, material is coated with standard commercial protective film.
• No warranty is provided as to film suitability. Data sheets are available upon request.
• Film should be removed as soon as practical and should not be exposed to environments, direct sunlight, or temperatures that may cause adhesive delamination. Customers are advised to consult the film manufacturer. Royal Decor Steel cannot provide warranties regarding protective film.

• Material may differ in tone and appearance between batches and production runs due to the nature of metals.
• Royal Decor Steel is not responsible for inconsistency of finish unless the requirement is notified and agreed to at order acceptance.
• Batch ordering is advised to improve consistency, however Royal Decor Steel cannot guarantee matching between batches due to factors beyond its control.

The steel shall have no imperfections that would adversely affect stamping, forming, machining, or fabrication of finished parts. Architectural finishes (sometimes described as #5) may be negotiated between buyer and seller as there are many techniques and finish variations.

• Textured patterns can be rolled in various metals and thicknesses; pattern depth varies by metal type, thickness, width, and pattern.
• Pattern repeat will not be the same on every sheet; full characters at the start or end of each sheet may not be possible.
• Squareness tolerances apply per ASTM A480 length tolerances.
• Customers requiring deeper patterns must sign off on a sample prior to placing an order.

• Colour may vary in different lighting and between batches; control samples are often necessary.
• Control samples are recommended for larger orders to define an acceptable colour range.
• Manufacturing holes required for production may be present and are not grounds for rejection.
• Promotional samples are not acceptable as control samples.

• Tone may vary between sheets and batches; unless control samples are agreed, Royal Decor Steel is not responsible for differences in tone or appearance.
• Minor defects from raw material may be present; this is inherent to the finish.
• Promotional samples are not acceptable as control samples.
• Detailed specifications of the bead blast media are not available.

• Royal Decor Steel is not responsible for defects in customer-supplied artwork or drawings; the customer must pay and cannot reject on that basis.
• Royal Decor Steel may supply bead blasted mix finish rather than etched product if required by production demands; goods cannot be rejected solely because a bead blast finish was supplied.

• Laser patterns are run in stainless steel only.
• Pattern repeat will not be the same on every sheet due to the manufacturing process.

We charge $60 per skid. If returned in good condition, you will receive a $35 store credit.

Recycled content percentages may vary by mill and are not guaranteed prior to production. Royal Decor Steel cannot guarantee these figures to be accurate pre-production.

Manufacturing marks may occur due to additional processing (such as electro-polishing or stretcher leveling) and are required for manufacturing purposes. These are not grounds for rejection. Contracts are governed by applicable provincial and federal law.
